' TERMS OF SERVICE' and 'LETTER OF INTENT'

OWNERSHIP

The Sydney Internet Directory is operated by the 1988 NSW registered company Starlite International Pty Ltd. . The company has been operating in the computer, multi-media and entertainment industry since its’ incorporation and since 1994 in the Network and Internet areas. The Managing Director has been involved in the computer industry since 1976 in USA and the other mentioned industries since 1959.

MISSION

The Sydney Internet Directory has been set up as a point of presence for all business, clubs and organisations who operate in and around the Sydney NSW Australia area, or operate to that same area. It creates then hosts full sites or one page sites on the directory under business classifications and geographic areas. It has been purposely set up as an economical alternative to amateur 'self' page creation or other professional organisations whose fees are aimed at big corporate business. Our ‘Fees for Services Rendered’ will be set in line with industry standards according to fair minded principals of world Internet policies.

Its' mission is not to just ‘host’ client's sites, but in fact to promote the site as a whole as well as the sites of individual client members.

CLIENT MEMBER STRUCTURE

The client membership structure is economically based and commences with the SILVER MEMBER client who wishes us to establish a LINK to their already established site from one of our categories. Under this plan there is no page creation and as such no files in our server. This eliminates any search results using our SITE SEARCH facility, which in a way defuses the directory’s potential to promote a client’s site. Most clients who already have their own web site and want to have a link from us, purchase a page on the directory, which we link to their own major site. This acts as a ‘doorway’ from the directory to their site and still comes up on any 'Search'.

PAGE ELEMENTS

Demonstration Samples can be seen on our site at… http://www.ozstar.com/sydney/demopage.htm The Samples for Gold and Diamond pages are only a guide. Within this membership we offer limited choices such as background and text colour, as well as some image and text placement. All layouts and options MUST BE clearly requested BEFORE page creation commences. Spelling, grammatical and some basic changes are allowed with 7 days of review notification, otherwise ‘page change’ charges will be made.

Each of these pages contain 4 elements…

      1. 1st scan - Could be photo
      2. Story – About the business,/club etc., - product review/description – services available etc.
        Max of 200 words
      3. Contact Details – Contact person, address, phones, faxes, e-mails, mobiles etc.
      4. 2nd scan – Could be logo or another photo

GOLD MEMBER

For this our most popular member, we create a page using our Sample Templates as guides and each page is comprised of the above mentioned 4 elements. They are, 2 scans which can be a logo and another photo, a maximum 200 word story/product review etc., and contact details.

The page is then connected to the Sydney geographical areas from where the client attracts business, and then connected to at least 3 categories on that main area page. There is no limit to how many areas it is connected to although any more categories than 3 could attract a small charge.
The page URL address which is 'world' unique, is given to the member for their own promotional and viewing use.The page is then uploaded to the directory site and hosted for 52 weeks. Every 52 weeks the contract/agreement is automatically renewed at the then current ‘New Page’ fee unless it is terminated by you as per instructions below.

If we are not given notice in writing to terminate the hosting within 14 days of the renew date, it will be logged in for a further 52 week period and an invoice will be sent to that effect. If a termination letter is received then it will be deleted and the name reassigned to the ‘available name’ list. If it is renewed, conditions will apply according to the contents of this page and the 'Pricing Schedule' at that time.

DIAMOND PAGE MEMBER

This is a member who wishes to have at least 3 pages to represent them however they do not wish to have the cost of their own 'domain name' The styles of these pages are based on the same samples and comprised of the same elements as for Gold Members. See Gold Members above. One page will be the lead page and it will to/from LINK to the other pages.

The lead page is then connected to the Sydney geographical areas from where the client attracts business, and then connected to 3 categories on that main area page. There is no limit to how many areas it is connected to although any more categories than 3 could attract a small charge.

PLATINUM MEMBERS

When one is ready to look at the Internet as another real potential promotional and/or sales tool, then a whole site with Domain name is appropriate. The overall site is based on personal preference and each page is looked at individually so they will be formatted in a way to attract and keep viewers on your site. They can be comprised of as many elements as one wishes and can fulfil catalogue, secure credit card orders, downloadable samples and many other facilities.

The Domain Name would be similar to
www.yourname.com.au (Australia) or www.yourname.com (USA)

Meetings, proofreadings and discussions are a necessary part of a Platinum members site creation. Our Platinum Member service provides all the personal scope for individually styled sites and can include Order Forms, Shopping Carts, Secure Credit Card transactions, animated graphics, sound, video and all the other trimmings that are being constantly introduced to the web.

Quotations for Platinum Members are based upon the items, materials and instructions given to us at quotation request time. Any variation or changes on these items, materials and instructions will attract fees outside and extra to the quotation. We reserve the right to charge these extra fees when necessary.

Every 52 weeks contracts/agreements are automatically renewed at the then current ‘New Page’ or agreed hosting fee, unless it is terminated by you as per instructions below.

PRICING OVERVIEW

The pricing structure of the Sydney Internet Directory is based upon two factors:
1. maximum time allocated to create each page and
2. the expertise needed for the requested service to be completed.

Gold and Diamond member’s pages are restricted in their total ‘flexibility of design’ as each page is of a ‘generic’ nature. . If more than this is needed, then a personal design page is needed where anything can be achieved for a price.

We create especially designed pages for Platinum whole site Members and prices range from a low charge for a basic page to much more expensive charges for more involved pages depending on the time spent and expertise needed.

Our rates are very economically priced compared to other 'professional Web Page Creation competitors and graphic design companies. Average ‘Professional Web Page Creation charges on the most part are considerably higher than our charges as they are based on ‘Graphic Artist’ fees. We have been told by many current clients our fees were as low as 1/3rd that of other companies quotes. The difference is we are a dedicated Web Page Creation and Hosting business rather than a Graphic Design business. All Hosting, marketing and other charges are separate to the creation fee.

Whilst our prices may be or have been advertised elsewhere, ONLY those on this web site and those obtained from the company main office will be the current prices, and they will take precedent over any others.
The company retains the right to change any pricing and price structure at any time however all new prices will be posted on the before mentioned page.
Once becoming a member however the amount of the annual fee paid is guaranteed for that one-year period. After this period it falls into line with advertised fees.

RENEWALS

In the case of all clients, the full annual host fee is automatically due after 52 weeks for a further 52 weeks. Notification and a 7 day Invoice will be sent to you and unless we receive your written termination advice prior to the termination date, your hosting will be logged in for a further 52 week period and an invoice sent.

EXTRAS

We offer to include more scans or text as well as different styles than those shown in our templates however all these service attract additional fees. Anything over and above what we consider to be our 'normal' services, will attract additional fees depending on the service rendered.. (See Pricing Schedule) If the Pricing Schedule does not show a fee for a desired service, please use the Email facility available on the page or contact the office direct for a quotation.

All extra requests will be outlined on the quotation document together with appropriate fees. If there are no specifically mentioned requests listed, then any extra requested changes or additions, shall attract additional fees to those mentioned in the quotation.

A Gold Members may add extra pages to their initial page at the current extra page rate however the same scan/text and style limits apply.

Variation from this sample style attracts a ‘personal’ web page fee.

PAGE SIZES

An average Gold or Diamond web page prints out to roughly 1 to 2, A4 pages and roughly 2- 4 scrolls of an average monitor screen.

Platinum Member pages can present from 1 scroll to 5 or 6 scrolls of an average size screen depending on the type and content of the page. It is not recommended that a page be too large as it can cause download problems and lose you potential viewers.

PAGE CHANGES

During the Initial Web/Page Creation period.

Once the quotation is accepted by the client, work will commence on that project and will continue within the limits of that quotation until that project is deemed completed. We reserve all rights to determine when that project is complete, based on the method in which the quotation was determined. Any services rendered after this time shall attract additional normal fees as set out in the Pricing Schedule.

Once the project has commenced, any and all services rendered that were not included in the initial quotation will also attract additional normal fees.

After the Web/Page Creation is created

Pages can be updated and changed at any frequency, however this does attract the normal fees as listed in the Pricing Schedule unless agreements have been entered into in writing, determining special fees for ongoing services to that site or page.

Changes or Update Guarantee Policies

Changes or Updates to a Site or Page are usually made within 48 hours period but due to potential circumstances beyond our control we do not make this an absolute guarantee. The changes will be made as soon as possible to that time frame.

Any on-going agreements entered into for regular daily, weekly, monthly changes/updates are given time priority however due to potential circumstances beyond our control, we do not offer any guarantees other than the services will be undertaken as soon as possible.

IMAGE FILES (This company does not purport to be a Graphic Arts company)

This company is a Dedicated Web Site/Page Creator and Host and in that capacity, utilises some of the functions of graphic artistry in the construction of a page. It does not purport to be in the Graphic Arts industry and it is under these circumstances that it accepts images files.

Any and all digital effects made to images are within strict parameters due to time constraints. Unless a quotation specifically itemises a particular graphic service to be rendered, all images will be only treated within these parameters. Any extra effects above these basic parameters will attract graphic artist fees and must be mentioned as separate items in any quotations.

Images must be supplied as clear, clean, flat, positive photographs/clip-art etc. without creases, which can be scanned by our designers. A usual size photograph is a good size. They must not be larger than A4 size nor smaller than a business card. Logos on letterheads are sometimes okay but the logo on many business cards are usually too small.

When any small photo or clip-art is enlarged, all irregularities on the image become more noticeable and the image is more likely appear to be ‘out of focus’ or unclear.
Photographs larger than A4, transparencies or electronic data files that are not in the format required, will attract extra process fees. Dark photographs are not encouraged and the company retains all rights as to what is acceptable

We optimise all image files for faster viewing and file size and this sometimes can cause conflict if the client wants the image to be larger than what we recommend. We do not take any responsibility over and above suggesting and advising how large a photo should be before the download time of the page suffers.

We reserve the right to refuse to comply with a client’s request for image sizes over and above what we feel will cause an unnecessary load on our servers.

Images that are obviously under a third party copyright will not be used unless copyright permission is given by the legal copyright owners. There are large fines and other penalties for copyright infringement and this company will not be party to this type of illegal activity. All clients must take full moral and legal responsibility for all images supplied to us. We will only accept images under the assumption that the client has cleared all copyright for their use.

PAGE TEXT

Text with any profanities, discriminations, sexual, or provocative content of a personal, corporate or political nature will not be accepted anywhere on our servers. Our sites are rated as ‘Family Sites’ and will forever remain so. Text also must not contain any reference to other companies without their consent, illegal or defamatory sayings, meanings or innuendoes.

Both Gold and Diamond Members are allocated up to 200 words, set out in one of the styles shown in the Sample Page Templates. This is included in the initial fee for each page. For extra text there are additional charges as set out in the Price Schedule.

Platinum Members can determine their own maximum word content however this must be presented in the initial stages so that a quotation can be fairly calculated. Any extra amounts of text above and beyond what is commonly termed as ‘acceptable’ by the Web Designer Industry, will attract additional time and expertise fees.

There are two ways in which text content can be utilised in your project and they are:-

  1. Provide us with an outline and we will copy write the story for you. Whilst we do our best to represent the essence of what you want to say, there is a charge if you require any changes to the text other than spelling or grammatical errors caused by our input staff.
  2. The best way is to give us EXACTLY what you want to say and how you want to say it. This will be typed in exactly as given to us. Extra charges will apply if any changes are needed other than spelling or grammatical errors caused by our input staff.

PROOF READING

After we create the pages or site, we use our own Spellchecker programs and then staff proofread the pages on screen. Due to the nature of on-screen proofreading, it is readily accepted that some errors will sneak through the net. These errors will be corrected free of charge once they are made known to us. Whilst no guarantee is given as to when the corrections will be made, it can be safely assumed they will be made as soon as is possible. No responsibility will be taken for any spelling or grammatical errors except that we will correct them.

PROOFREADING TIME LIMIT

After a client is advised their Site/Page is created and on-line ready for review, a period of 7 days is allowed is report back with ALL changes to be made. All requested changes MUST be within the limits of the accepted quotation and they MUST all be requested at the one time. Changes will be made to pages only ONCE within the quotation price. ALL and ANY changes after this 7 day period will attract normal change/update fees.

It is strongly suggested the client give the highest priority to exacting how they want the site or page to look BEFORE the quotation and lastly BEFORE the 7-day change limit. All changes that are requested AFTER this limit will be liable for normal change/update fees.

DOMAIN NAME REGISTRATION

We will apply for registration with the proper Internet Agency who represent the governmental authority, for a domain name on your behalf but cannot guarantee a name will be available. Whilst US domains (.com .net .org) are easier to lease, the Australian government has put strict limits on domain name supply. You first, must have that exact name registered as a business name with Corporate Affairs or as a Company with an ACN number. The domain name must be the same as these names or use words or letters in the same running order. It is suggested if you want a particular domain name, you check that it is available then go and register a business name with Corporate Affairs so that your domain registration is more likely to be successful.

Once the domain name is accepted fees will have to be paid to the Agency immediately to guarantee you have full registration. Until they are paid your Domain name will not be released by them. This name becomes your licensed property with no connection to us except we will host that name on our site.

Domain Name costs are based on a two-year renewal basis for Australian names and 1 year for US names.. If you are to become a Platinum Member we will notify you when this renewal date is due as the Internet Agency does not. This service is free

SET UP & POINT YOUR DOMAIN NAME

As a Platinum Member we will assign a host site to you and set it up so that your Domain Name will point to it. This means that whenever anyone in the world types in http://www.yourname.com.au they will be taken automatically to your first 'HOME' page on our host site. There is an annual set up charge for every Domain name and an annual charge for hosting it

ANNUAL DOMAIN HOST FEE

All Host fees are payable on a minimum yearly basis. Any reference to 'monthly charges' is purely for marketing purposes in establishing the pro-rata costs our hosting service provides. All host fees are for the minimum 52 week period. It is due every year on renewal unless termination is requested in writing by the client. It is NON-REFUNDABLE and any and all site terminations requested before the expiry of a 52 week period, shall still be liable for ther full 52 week fee.

SITE/PAGE TERMINATIONS

All our hosting for pages and full sites are only available for a minimum 52 week time period, meaning it shall terminate 52 weeks exactly from the start day. For example if your start was on a Wednesday, then your 52 weeks will end on the Tuesday prior to that 52 week period end.

Unless prior to the annual termination date, we receive in writing notice that you wish us to terminate hosting of your page or site, a 7 day invoice will be sent for the next 52 weeks and you will be automatically logged in for a further 52 week period.

If you do send notice to terminate the page/site, it will be downloaded within 7 days and irretrievably deleted.

Note: It is up to you to cancel your annual hosting service. Unless we receive this cancellation in writing prior to the annual termination period, it is considered you wish to retain your hosting with us and you will be billed for a further 52 week period of hosting.

If at any time during the 52 period you wish us to terminate your site or page hosting for any reason, you will still be responsible for the full 52 week hosting fee. There are no exceptions to this policy.

NON-PAYMENT OF FEES

All fees are payable within 7 Days of the Invoice Date and any outstanding fees could attract 9/5% per annum interest on the full amount due.We reserve the right to initiate this on any one or all defaulters. If default is over 30 days then we have the right to place the account in the hands of a debt collector or lawyer for collection with all our own extra fees including court and solicitors costs to be paid by the defaulter. Requests will also be made to notify all Credit Reporting Agencies of the default.

SITE ACCESSIBILITY and DOWN TIME WARRANTIES

Whilst we have every intention our servers will be on-line every second of every day, the nature of the Internet and computers is not so precise. We therefore do not offer any warranty or guarantee that our servers and consequently any and all sites and pages hosted by us, will be accessible 100% of the time. We do offer a guarantee that we will endeavour to correct any problems associated with down time that is under our control. No down time is refundable to any clients for any reason.

IN CONCLUSION

The Sydney Internet Directory has no competition when it comes to fees in relationship to services offered. We know our value and know the distance we are prepared to go to keep our many clients happy. This distance has no equal in Australia and it is proved to us time and again as we keep getting more and more clients from other hosts and web creators. Some of the stories are nearly unbelievable and most of them due to clients having 'friends of friends' or el-cheapo web amateurs try to do the job.

All our work is based on very tight time and very competitive 'expertise' charges. We cannot and do not deceive that we can offer more than is committed.

Any use of our site/page or our name in any immoral or illegal manner will be reported to authorities immediately and could attract both criminal and civil charges. Any attempt to illegally infringe our site or its contents will not be tolerated.
